On December 9, 2019, Sarah A. Bany informed the Columbia Sportswear Company (the “Company”) Board of Directors (the “Board”) of her decision to resign as a member of the Board, effective immediately. Ms. Bany’s decision to resign was based on personal reasons and was not due to any disagreement with the Company on any matter relating to its operations, policies or practices.

ITEM 7.01 REGULATION FD DISCLOSURE

On December 10, 2019, the Company issued a press release announcing the resignation of Ms. Bany from the Board. A copy of the press release is furnished as Exhibit 99.1 to this Current Report on Form 8-K.
